Vendor Terms and Conditions 1. Introduction Welcome to WhatsEdge! These Vendor Terms and Conditions ("Terms") outline the rights and obligations of vendors (referred to as "Vendor" or "You") providing services, products, or integrations to WhatsEdge. By engaging with WhatsEdge, you agree to comply with these Terms. 2. Definitions "WhatsEdge": Refers to our platform, business, and related services. "Vendor": The individual or entity providing products, services, or integrations to WhatsEdge. "Agreement": The binding relationship governed by these Terms. "Deliverables": Any goods, services, or materials provided by the Vendor. 3. Eligibility To enter into this Agreement, the Vendor must: Be a legally registered entity or individual authorized to conduct business. Comply with applicable local, state, and federal laws, including tax obligations. Provide accurate and verifiable business details to WhatsEdge. 4. Vendor Obligations The Vendor agrees to: Deliverables: Provide the agreed-upon products or services on time, in good condition, and in compliance with quality standards. Compliance: Adhere to all applicable laws, regulations, and WhatsEdge’s policies, including those related to data protection, anti-corruption, and ethical practices. Communication: Maintain timely and effective communication with WhatsEdge for order updates, issue resolution, and general inquiries. Confidentiality: Protect any confidential or proprietary information shared by WhatsEdge during the course of the engagement. 5. Payment Terms WhatsEdge will pay Vendors based on agreed-upon terms and timelines outlined in a separate agreement or invoice. Payments are subject to verification and approval of the Deliverables. Vendors are responsible for providing accurate billing details, including GST or other applicable tax details. WhatsEdge reserves the right to withhold or delay payments for non-compliance with these Terms. 6. Intellectual Property Any intellectual property (IP) developed by the Vendor specifically for WhatsEdge as part of this Agreement will be considered the property of WhatsEdge unless otherwise agreed in writing. The Vendor guarantees that any materials or services provided do not infringe on the IP rights of third parties. 7. Warranties and Representations The Vendor represents and warrants that: They have the legal right and authority to enter into this Agreement. All Deliverables will be free from defects, conform to agreed specifications, and be fit for their intended purpose. They will not engage in practices that harm WhatsEdge’s reputation or violate laws or ethical guidelines. 8. Confidentiality Vendors must treat all information shared by WhatsEdge, including business strategies, customer data, and platform details, as strictly confidential. This obligation survives the termination of this Agreement. 9. Termination WhatsEdge reserves the right to terminate this Agreement immediately if: The Vendor breaches these Terms. Deliverables fail to meet agreed standards or deadlines. The Vendor engages in unethical or unlawful practices. Either party may terminate this Agreement with [30 days'] written notice for convenience. 10. Indemnification The Vendor agrees to indemnify, defend, and hold WhatsEdge harmless from any claims, damages, or liabilities arising from: Breach of these Terms. Violation of laws or third-party rights. Defective or harmful Deliverables provided by the Vendor. 11. Limitation of Liability To the fullest extent permitted by law, WhatsEdge is not liable for any indirect, incidental, or consequential damages resulting from this Agreement. 12. Compliance with Laws The Vendor must comply with all applicable laws, including but not limited to: Tax regulations. Data protection laws (e.g., GDPR, CCPA). Anti-corruption and anti-bribery laws. 13. Governing Law and Jurisdiction These Terms are governed by the laws of India. Any disputes shall be resolved exclusively in the courts of Dehradun, Uttarakhand, India. 14. Amendments WhatsEdge reserves the right to update or modify these Terms at any time. Vendors will be notified of significant changes. Continued engagement signifies acceptance of the updated Terms. 15. Miscellaneous Independent Contractor: The Vendor is an independent contractor and not an employee, partner, or agent of WhatsEdge. Entire Agreement: These Terms constitute the entire agreement between the parties and supersede all prior agreements. Force Majeure: Neither party shall be liable for delays or non-performance caused by events beyond their reasonable control. 16.
